Terms of Service

Last updated: October 9, 2026. If you created your account before this date, these Terms apply to you from November 1, 2026.

These Terms of Service ("Terms") govern your access to and use of 365clients (the "Service"), operated by 365clients ("we", "our", or "us"). They are a contract between you and us. Please read them carefully, in particular section 17 (Resolving Disputes), which requires most disputes to be resolved by individual arbitration and not in court or as a class action. By ticking the box that says you agree, creating an account or using the Service, you agree to these Terms.

1. Acceptance and Eligibility

The Service is for business use. By accessing or using 365clients you confirm that you are at least 18 years old, that you have the authority to enter into these Terms on behalf of yourself or your organization, and that you agree to be bound by them. If you do not agree, do not use the Service.

We keep a record that you agreed (the date, the version of these Terms, and the email address on your account) so that we can show it if it is ever needed.

2. Description of Service

365clients is a cloud-based CRM (Customer Relationship Management) platform designed for small businesses. Features include contact management, deal pipelines, activity tracking, scheduling and online booking, team collaboration, and AI-powered tools.

3. Account Registration

You must create an account to use the Service, and keep the information on it accurate. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access.

4. Subscription and Billing

  • 365clients offers a 7-day free trial. A valid payment method is required to start the trial; you will not be charged until the trial ends.
  • After the trial, continued use requires a paid subscription (Starter at $39.99/mo for one user, or Pro at $59.99 per user per month), plus a one-time $200 setup fee billed when the trial ends.
  • New subscriptions are billed monthly in advance.
  • All payments are processed by Stripe. We do not store your payment details.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • Refunds are handled on a case-by-case basis. Contact us within 7 days of a charge if you believe it was made in error.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Upload or transmit malicious code, spam, or harmful content
  • Upload, store or share content that infringes anyone's copyright, trademark or other rights
  • Send messages without the permission the law requires, or keep messaging someone who has opted out
  • Use the Service to harass, defraud or mislead anyone
  • Attempt to gain unauthorized access to other users' data or our systems
  • Reverse engineer or attempt to extract the source code of the Service
  • Resell or sublicense access to the Service without our written permission
  • Use the AI features to generate content that is deceptive, harmful, or illegal

6. Your Data

You retain full ownership of all data you input into 365clients (contacts, deals, notes, etc.). You grant us a limited license to store and process your data solely to provide the Service. We do not use your CRM data to train AI models or share it with third parties except as necessary to operate the Service.

You are responsible for your data: for having the right to put it into the Service, for its accuracy, and for giving your own customers any notices and getting any consents that the law requires.

7. Messages You Send

365clients lets you send email and text messages to your own customers and leads. You are the sender. You are responsible for having the permission the law requires before you send (including the Telephone Consumer Protection Act, the CAN-SPAM Act, state laws and mobile carrier rules), for honoring opt-outs, and for what the messages say.

We provide tools that help (consent records, opt-out handling, an unsubscribe link), but they do not make a message lawful by themselves. We may limit or suspend sending if we believe it breaks the law, carrier rules or these Terms.

8. Customer Data and Privacy Roles

You put information about your own customers, leads and contacts into the Service ("Customer Data"). As between you and us, you decide why and how it is used, and we process it on your behalf as your service provider (processor). For Customer Data we:

  • process it only to provide the Service to you and as you instruct, and for no other purpose of our own;
  • do not sell it, share it for advertising, or use it to train AI models;
  • do not combine it with information from other businesses;
  • limit access to it to people who need it to run the Service and who are bound to keep it confidential;
  • protect it with the security measures described in our Privacy Policy, and tell you without undue delay if we learn it was accessed without authorization;
  • use only the subprocessors listed in our Privacy Policy, and are responsible for them;
  • help you respond to requests from your customers about their information, where you cannot do it yourself in the Service; and
  • return or delete it when your subscription ends, as described in section 13.

Our Privacy Policy explains what we do with information about you, as opposed to information about your customers.

9. AI Features

The Service includes features powered by artificial intelligence, such as summaries, email drafts, deal coaching, lead scoring, reports and card scanning. AI can be wrong, incomplete or out of date. It is a drafting and analysis aid, not a substitute for your judgment.

  • Review what the AI writes before you send it or rely on it. You are responsible for what you send and decide.
  • AI output is not legal, financial, tax or other professional advice.
  • Do not use AI output as the only basis for a decision that has a legal or similarly significant effect on a person.
  • A score or a suggestion is an estimate. It is not a prediction or a guarantee of any result.

We do not use your CRM data to train AI models. Our AI features run on servers we host and operate. A request is sent to a cloud AI provider only if the owner of your workspace has turned on cloud fallback in Settings, which is off unless they do.

10. Intellectual Property

The 365clients platform, including its software, design, and content, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. If you give us feedback or suggestions, we may use them without obligation to you.

11. Copyright Complaints (DMCA)

We respect the rights of copyright owners and expect the same of you. Our users store files and other content in the Service. If you believe content in the Service infringes your copyright, send a notice to our designated agent at legal@365clients.com (subject: Copyright Notice). Please include:

  • your physical or electronic signature;
  • a description of the copyrighted work you say is infringed;
  • a description of the material you say is infringing and where it is in the Service, with enough detail for us to find it;
  • your name, mailing address, telephone number and email address;
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and
  • a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

When we receive a valid notice we act promptly: we remove or disable access to the material and tell the user who added it. If you are that user and believe the material was removed by mistake or misidentification, you may send us a counter-notice to the same address with your signature, a description of the material and where it was, a statement under penalty of perjury that you believe in good faith it was removed by mistake or misidentification, your name, address and telephone number, and your consent to the jurisdiction of the federal court for your address (or, outside the United States, any judicial district in which we can be found). We pass the counter-notice to the person who complained and may restore the material in 10 to 14 business days unless they tell us they have filed a court action.

We close the accounts of users who repeatedly infringe copyright, in appropriate circumstances. Knowingly sending a false notice or counter-notice can make you liable for damages.

12. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice and will work to minimize downtime. We are not liable for losses resulting from service interruptions.

13. Termination

You may cancel your subscription at any time from the billing settings page. We may suspend or terminate your account if you violate these Terms, with or without notice depending on severity. Upon termination, your data is retained for 90 days before deletion; you may export it during that time, and may ask us to delete it sooner. Sections of these Terms that by their nature should continue after termination (including sections 6, 8, 14 to 17 and 19 to 20) do.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be error-free, secure, or meet your specific requirements, or that AI output will be accurate.

15. Limitation of Liability

To the maximum extent permitted by law, 365clients shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim. These limits apply however a claim arises. Nothing in these Terms limits liability that cannot be limited by law, and some places do not allow some of these limits, so parts of this section may not apply to you.

16. Indemnification

You will defend and indemnify us, and our owners, employees and contractors, against claims, damages, costs and reasonable legal fees brought by a third party that arise from your Customer Data or other content, the messages you send through the Service, your breach of these Terms, or your violation of law or of anyone's rights. We will tell you about the claim promptly and give you reasonable help at your cost, and you may not settle a claim that admits fault on our behalf without our written consent.

17. Resolving Disputes: Arbitration and Class Action Waiver

Please read this section carefully. It affects your rights, including your right to go to court and to bring or join a class action.

Talk to us first. Before starting any claim, send us a written description of it at legal@365clients.com. We will try to resolve it with you within 30 days. Neither of us may start an arbitration or a court case until that time has passed.

Binding individual arbitration. Except for what is excluded below, any dispute or claim between you and us arising out of or relating to these Terms or the Service, including whether it can be arbitrated, will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its rules in effect when the arbitration begins. The Federal Arbitration Act applies. The hearing is held by video conference or telephone unless the arbitrator decides an in-person hearing is needed. The arbitrator's decision may be entered as a judgment in any court that has jurisdiction.

No jury, no class actions. You and we each give up the right to a trial by jury and the right to go to court, except as stated below. You and we may bring claims only on an individual basis, and not as a plaintiff or member of any class, collective or representative proceeding. The arbitrator may not combine the claims of more than one person or preside over any such proceeding. If this waiver is held unenforceable for a claim, that claim (and only that claim) must be brought in court instead of arbitration.

What is not covered. Either of us may (a) bring an individual claim in small-claims court if it qualifies, and (b) ask a court for an injunction to stop infringement or misuse of intellectual property, or unauthorized access to or use of the Service.

Costs. The AAA's fees and the arbitrator's compensation are shared as the AAA's rules provide. Each of us pays its own lawyers and costs, unless the arbitrator or the law says otherwise.

You can opt out. You may opt out of the arbitration agreement and class action waiver in this section 17 by emailing legal@365clients.com within 30 days after you first agree to these Terms, with the subject "Arbitration opt-out", from the email address on your account. Opting out does not change any other part of these Terms.

Court. For any dispute that is not arbitrated, you and we agree that the state and federal courts located in the State of Texas have exclusive jurisdiction and that venue is proper there.

If we change this section 17, the change does not apply to a dispute you have already told us about in writing.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. We may ask you to agree to the new version in the app; where we do, you need to agree to keep using the Service. Continued use after changes take effect constitutes acceptance.

19. General Terms

  • These Terms, our Privacy Policy and any SMS terms we publish are the whole agreement between you and us about the Service.
  • If part of these Terms is held unenforceable, the rest stays in effect. If we do not enforce something, we have not given it up.
  • You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition or sale of our business.
  • Neither of us is liable for a delay or failure caused by something beyond our reasonable control, other than a duty to pay.
  • We may give you notices by email to the address on your account or in the app. You may give us notices at legal@365clients.com.
  • You agree that electronic records and clicking to agree are as valid as paper and a signature.
  • Nothing in these Terms makes you and us partners, agents or employer and employee.

20. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. The Federal Arbitration Act governs section 17.
